Description
•Compliance policies (AML, ABC, Supplier DD, KYC) – design and implementation •Board resolutions/decisions, meeting records •Delegation of powers – design and implementation •Shareholder/option holder registers and management of Option vesting, redemption and exercising •Entity incorporation (legal, payroll) •Assist in corporate governance matters, including creation and maintenance of risk registers, regulatory filings, investor and board relations and record keeping. •Develop and update company policies and procedures to ensure legal compliance and alignment with best practices. •Protect the group's intellectual property rights. •Assist in due diligence and transactional matters related to mergers and acquisitions, and restructuring. •Appointing and working closely with external counsel when necessary.
Requirements
•Fully qualified Corporate Governance Professional Company Secretary, or Corporate Solicitor with at least three years of relevant experience •Experience acting as the principal legal and compliance (including corporate governance) officer •Flexible and adaptable with the ability to work in a fast-paced environment that has a constantly evolving set of priorities. •Exposure to overseas entity creation
